These Terms of Use set forth the terms and conditions for the use of “Signals,” a prediction market platform provided by Institution for a Global Society Inc. (“Company,” “we,” “us,” or “our”). Users shall use the Service only after agreeing to these Terms.

Article 1. Application

  1. These Terms apply to all relationships between the Company and users regarding the use of the Service.

  2. Any rules, guidelines, notices, FAQs, or other terms separately published by the Company in relation to the Service shall constitute part of these Terms.

  3. In the event of any inconsistency between these Terms and any separately published rules, the separately published rules shall prevail to the extent of such inconsistency, unless otherwise specified by the Company.

Article 2. Definitions

For the purposes of these Terms, the following terms shall have the meanings set forth below:

  1. “Service” means the prediction market platform “Signals” and any related services provided by the Company.

  2. “User” means any individual or entity that uses the Service.

  3. “Account” means an account created or authenticated for the purpose of using the Service.

  4. “Prediction Market” means a mechanism through which Users express forecasts regarding specific future events, outcomes, or conditions.

  5. “SIGS” means tokens, points, or other units used within the Service, as designated by the Company.

  6. “Reward” means any incentive, benefit, point, token, prize, or other item granted by the Company in connection with use of the Service.

  7. “Market Rules” means the conditions, resolution criteria, participation requirements, trading period, and other rules established for each Prediction Market.

Article 3. Use of the Service

  1. Users may use the Service in accordance with these Terms, applicable laws and regulations, and the Market Rules.

  2. The Company may impose conditions on use of the Service, including user verification, identity confirmation, proof-of-human verification, email authentication, passkey authentication, or other authentication methods.

  3. The Company may restrict access to certain Prediction Markets based on authentication status, eligibility, user attributes, organizational affiliation, or other criteria designated by the Company.

  4. Users shall be responsible for preparing, at their own cost and responsibility, the devices, communication environment, wallet, authentication tools, and other items necessary to use the Service.

Article 4. Registration and Account Management

  1. Users shall provide true, accurate, and complete information when registering for or using the Service.

  2. Users shall manage their Account, authentication credentials, wallet, passkey, private key, and other access credentials at their own responsibility.

  3. Users shall not transfer, lend, sell, assign, pledge, or otherwise dispose of their Account or access credentials to any third party.

  4. The Company shall not be liable for any loss or damage arising from inadequate management, misuse, unauthorized use, or loss of a User’s Account or access credentials, except in cases attributable to the Company’s willful misconduct or gross negligence.

  5. The Company may suspend or delete an Account if it determines that the User has violated these Terms or is otherwise inappropriate as a User of the Service.

Article 5. Prediction Markets

  1. Users may participate in Prediction Markets only in accordance with the applicable Market Rules.

  2. Market Rules shall be determined by the Company or by a market administrator authorized by the Company.

  3. Users acknowledge that Prediction Markets involve uncertainty and that market prices, probabilities, or other indicators shown in the Service do not guarantee future outcomes.

  4. The Company does not guarantee the accuracy, completeness, usefulness, reliability, or timeliness of any market information, forecast, probability, price, or result displayed in the Service.

  5. Users shall make their own judgments and decisions when participating in Prediction Markets.

Article 6. Market Resolution

  1. Each Prediction Market shall be resolved in accordance with its Market Rules.

  2. The Company or a market administrator authorized by the Company may determine the result of a Prediction Market by referring to data sources, public information, official announcements, third-party information, or other materials designated in the Market Rules.

  3. If the result cannot be objectively determined, or if continuation or resolution of a Prediction Market is deemed inappropriate, the Company may invalidate, cancel, suspend, or otherwise handle the market in a manner the Company considers reasonable.

  4. Users shall not object to market resolution except through procedures separately designated by the Company, if any.

Article 7. SIGS, Points, and Rewards

  1. SIGS and other points or tokens used in the Service may be used only within the scope designated by the Company.

  2. SIGS, points, tokens, or Rewards do not constitute legal tender, prepaid payment instruments, crypto assets, securities, or any other financial instruments, unless expressly stated otherwise by the Company.

  3. Users may not exchange, transfer, sell, purchase, pledge, lend, or otherwise dispose of SIGS, points, tokens, or Rewards outside the methods expressly permitted by the Company.

  4. The Company may change, suspend, terminate, expire, invalidate, or adjust SIGS, points, tokens, Rewards, grant conditions, exchange conditions, and related mechanisms when necessary for operational, technical, legal, regulatory, security, or other reasonable reasons.

  5. Rewards may be subject to separate conditions, including eligibility, timing, quantity limits, expiration dates, identity verification, tax treatment, and applicable laws and regulations.

  6. Users shall be responsible for any taxes, public charges, or other obligations arising from the receipt or use of Rewards.

Article 8. No Gambling, Investment, or Financial Advice

  1. The Service is intended to support decision-making by aggregating forecasts and collective intelligence. It is not intended to provide gambling, betting, speculative trading, investment advice, financial advice, or asset management services.

  2. Users shall not use the Service for gambling, betting, money laundering, market manipulation, fraudulent trading, or any other illegal or inappropriate purpose.

  3. Any information displayed in the Service, including market prices, probabilities, comments, rankings, and results, is provided for informational purposes only and shall not be construed as investment, legal, tax, accounting, financial, or other professional advice.

  4. Users shall use the Service at their own discretion and responsibility.

Article 9. Prohibited Conduct

Users shall not engage in any of the following acts:

  1. Acts that violate laws, regulations, court orders, administrative measures, or public order and morals.

  2. Acts that violate these Terms or Market Rules.

  3. Acts that infringe the rights or interests of the Company, other Users, or third parties.

  4. False registration, impersonation, account sharing, multiple account abuse, bot use, Sybil attacks, or other fraudulent participation.

  5. Unauthorized access, reverse engineering, scraping, excessive access, system interference, or attacks on the Service.

  6. Market manipulation, collusion, wash trading, fraudulent prediction activity, or acts that unfairly affect market outcomes.

  7. Use of the Service for gambling, betting, money laundering, terrorist financing, fraud, or other illegal purposes.

  8. Posting or transmitting false, misleading, defamatory, discriminatory, obscene, offensive, or harmful content.

  9. Acts that interfere with the operation of the Service.

  10. Any other act that the Company reasonably determines to be inappropriate.

Article 10. Suspension, Restriction, and Termination

  1. The Company may suspend, restrict, or terminate a User’s access to the Service without prior notice if the Company determines that the User has violated these Terms or engaged in inappropriate conduct.

  2. The Company may suspend or restrict all or part of the Service for maintenance, system failure, security reasons, legal or regulatory reasons, force majeure, or other operational necessity.

  3. The Company shall not be liable for any damage incurred by Users as a result of measures taken under this Article, except in cases attributable to the Company’s willful misconduct or gross negligence.

Article 11. Intellectual Property Rights

  1. All intellectual property rights and other rights relating to the Service, including software, designs, text, images, logos, data, algorithms, market mechanisms, and related materials, belong to the Company or rightful third-party licensors.

  2. Users shall not reproduce, modify, distribute, transmit, sell, lend, publicly display, publicly transmit, reverse engineer, or otherwise exploit the Service or its contents without the Company’s prior consent.

  3. Users retain rights to content they submit to the Service, but grant the Company a non-exclusive, worldwide, royalty-free license to use such content to the extent necessary for operation, improvement, analysis, promotion, and provision of the Service.

Article 12. Personal Information and Privacy

  1. The Company shall handle Users’ personal information appropriately in accordance with the Company’s privacy policy and applicable laws and regulations.

  2. Users acknowledge that the Service may use authentication technologies, proof-of-human verification, wallet information, transaction records, access logs, and other information necessary for operation of the Service.

  3. The Company may use aggregated or anonymized data for analysis, research, product improvement, reporting, and business purposes, provided that individuals are not identified.

Article 13. External Services

  1. The Service may integrate with third-party services, including authentication services, wallet services, blockchain networks, oracle services, or other external services.

  2. Users shall comply with the terms and conditions applicable to such third-party services.

  3. The Company shall not be liable for any suspension, failure, specification change, data loss, unauthorized access, or other issue arising from third-party services, except in cases attributable to the Company’s willful misconduct or gross negligence.

Article 14. Disclaimer

  1. The Company makes no warranty that the Service will be free from defects, errors, bugs, interruptions, data loss, security incidents, or incompatibilities.

  2. The Company makes no warranty regarding the accuracy, completeness, usefulness, reliability, legality, or suitability of information provided through the Service.

  3. The Company makes no warranty that the Service will meet the specific purpose, expectations, or requirements of any User.

  4. The Company shall not be liable for disputes between Users or between a User and a third party, unless such dispute is attributable to the Company’s willful misconduct or gross negligence.

Article 15. Limitation of Liability

  1. To the maximum extent permitted by applicable law, the Company’s liability arising out of or in connection with the Service shall be limited to direct and ordinary damages actually incurred by the User.

  2. The Company shall not be liable for special, indirect, incidental, consequential, punitive, or lost-profit damages, regardless of foreseeability.

  3. The limitations set forth in this Article shall not apply in cases of the Company’s willful misconduct or gross negligence.

Article 16. Changes to the Service

The Company may modify, add, suspend, discontinue, or terminate all or part of the Service when the Company determines it necessary for business, operational, technical, legal, regulatory, security, or other reasonable reasons.

Article 17. Amendments to These Terms

  1. The Company may amend these Terms when necessary.

  2. If the Company amends these Terms, the Company shall notify Users by posting on the Service, sending notice, or using another method designated by the Company.

  3. If a User continues to use the Service after the effective date of the amended Terms, the User shall be deemed to have agreed to the amended Terms.

Article 18. Assignment

Users may not assign, transfer, pledge, or otherwise dispose of their contractual status under these Terms, or any rights or obligations arising under these Terms, without the Company’s prior written consent.

Article 19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Article 20. Governing Law and Jurisdiction

  1. These Terms shall be governed by the laws of Japan.

  2. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 21. Language

These Terms may be prepared in Japanese and English. In the event of any discrepancy or inconsistency between the Japanese version and the English version, the Japanese version shall prevail, unless otherwise specified by the Company.
